A $100M Raise, a 36-Month Unlock, and the Math Nobody Ran

Neotoshi โ€ข โ€ข Interviews

Hook

Hope is a liability. This quarter it also happens to be a $100 million line item.

A fungible-token project closed a Series A eight days ago at a $1.4 billion fully diluted valuation. The headline moved through Crypto Twitter in four hours. The vesting table moved through exactly nobody. I pulled the contract at 2 a.m. Bangalore time, printed the cliff schedule, and cross-referenced it against nine months of comparable unlocks in the same sector. The curve was not aggressive. It was mathematically impossible to service against the liquidity the project itself had disclosed six weeks earlier. The press release carried a valuation. It did not carry a division problem โ€” but it is one.

Context

A bull market does something specific to diligence. It converts it into a social cost. When every chart is green, the analyst who asks for the cap table is the analyst who slows the round. So the cap table becomes a summary, the summary becomes a chart, and the chart gets a caption that reads "long-term aligned."

Here is the structure beneath the caption. A project raises at a valuation. That valuation is a claim on a supply schedule. Raise $100 million at $1.4 billion and you have sold roughly 7.1 percent of a fully diluted entity whose entire value rests on the market eventually absorbing every token the protocol will ever mint. The raise is not the story. The raise is a bet that the discount rate stays low long enough for insiders to exit into it.

I have watched this film before. In late 2017, leading a small data team in Bangalore, I built a rigid checklist to audit forty-plus ICO whitepapers at the peak of the bubble. I did not read them for vision. I read them for arithmetic โ€” claimed tokenomics cross-referenced against historical market-cap absorption. Twelve of the forty contained mathematical impossibilities. Those twelve never got funded. That single filter later prevented roughly $1.5 million in losses when the market cleared. The lesson was never that I was clever. The lesson is that the arithmetic is public, and almost nobody runs it.

Let me run it.

Core

Start with supply. Total supply: one billion tokens. The Series A priced at $1.40 โ€” simply $1.4 billion divided by a billion. Investors received 71.4 million tokens, or 7.14 percent. At the token generation event, circulating supply was set at 11.5 percent, or 115 million tokens. That makes the launch circulating market cap $161 million against a headline FDV of $1.4 billion.

That gap โ€” $1.239 billion โ€” is not a valuation. It is a debt. It is float promised to insiders and sold into a market that has not yet agreed to buy it. The difference between FDV and circulating market cap is a liability, and the unlock schedule is its repayment plan.

Now the schedule. Ecosystem incentives: 25 percent of supply, 250 million tokens, released linearly over 48 months from day one. That is 5.2 million tokens per month, immediately. Team, seed, and Series A: 42 percent, 420 million tokens, subject to a 12-month cliff and then 24-month linear vesting. Starting in month thirteen, that adds 17.5 million tokens per month.

Do the addition. From month thirteen onward, the protocol emits roughly 22.7 million tokens per month into the market. At the $1.40 reference, that is $31.8 million of structural sell pressure every month โ€” about $1.06 million every day.

Is that survivable? It depends entirely on volume, and volume is reflexive. Suppose the token trades $40 million per day in its first quarter. The daily unlock is 2.6 percent of that. Tolerable. Now suppose price drops 40 percent on a macro unwind. Volume does not stay at $40 million. It contracts to $16 million. The same $1.06 million of daily emission is now 6.6 percent of daily volume. The absorption gap does not widen because more tokens are sold. It widens because the market that must absorb them gets thinner at exactly the moment supply grows. That is the mechanism, and it is not opinion. It is a ratio.

The project's defense is usually the treasury. Here the treasury holds 18 percent of supply, denominated in its own token. This is circular collateral, and command over it is an illusion. If the token falls, the treasury falls with it. There is no external asset to bid with. When the market asks the protocol to defend its own float, the protocol has nothing to answer with except more of the thing being sold.

There is a second layer most desks skip: the venue. The token lists on two centralized exchanges and one large DEX pool. That pool holds $9 million of paired liquidity at launch. A 22.7 million-token monthly emission is roughly $31.8 million of notional. A $9 million pool cannot absorb a $31.8 million monthly print without a structural slippage that compounds. That slippage is not a bug. It is the price of exit for whoever holds the bag when the emission lands.

Now apply the regulatory lens, because this is where the fine print pays. The token is issued by a foundation in a light-touch jurisdiction. The public distribution is dressed as an "ecosystem incentive" โ€” airdrops to users rather than a purchase โ€” which lets the legal team argue the TGE sits outside securities law. But the Series A carries 71.4 million tokens to accredited investors with a vesting cliff. That carries the economic fingerprint of an offering: investment of money, common enterprise, expectation of profit derived from the efforts of others. The deliberate withholding of a classification is the strategy. Regulation-by-enforcement means ambiguity is a feature, not a defect.

I have read this fine print before. In 2024, leading a quantitative review of five newly approved spot Bitcoin ETF structures, I compared fee models and custody settlement and found a 0.05 percent efficiency gap that institutional clients had overlooked. That gap was invisible in the marketing and obvious in the prospectus. The difference between an analyst who reads the fee table and one who reads the press release is that gap. It is the same discipline here: read the distribution mechanics, not the announcement.

Contrarian

Here is the part that inverts the standard bearish take. Everyone on the timeline will tell you the unlock is future sell pressure. That is wrong, and it is the single most expensive misunderstanding in the sector.

The unlock is not future supply. Most of it was sold months ago, forward. Delta-neutral funds bought discounted tokens from the team โ€” through OTC or a market-maker loan โ€” and hedged immediately with a short on the perpetual. When the cliff hits, those tokens do not arrive on the order book as new sellers. They return to the desk that lent them, and the hedge unwinds. The visible "unlock-day dump" is mostly the mechanical unwind of a position that was priced before the token ever listed.

This changes what you should watch. If the supply is already sold forward, then price is not a function of the token count. It is a function of the funding rate on the perp and the borrow rate on the money market. Positive funding means the hedge is cheap; the fund can hold. Negative funding means the hedge is bleeding; the fund must unwind faster, and that unwind is the buy โ€” not the sell โ€” that the crowd miscounts.

That is where the edge lives. Not in counting tokens. In reading the cost of the hedge. Arbitrage finds truth where noise ignores it. The crowd counts the cliff. The desk prices the carry.

Takeaway

So here is the number to run before the next $100 million round crosses your screen. Take the monthly emission, divide it by trailing thirty-day volume, then halve the volume. If the ratio breaks 5 percent after that haircut, the structure is fragile regardless of the narrative. The contract does not care about the roadmap, and the roadmap does not pay the ratio. Survival is a function of liquidity, not optimism.

Now sit with the uncomfortable question โ€” the one that belongs in every bull market and belongs to nobody: when the insiders were handed a vesting table, who in that room actually ran the division? And if no one did, who was supposed to?
